1. Agreement to Terms

By accessing or using VoterPing's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our Services.

These Terms apply to all visitors, users, and clients of VoterPing.

2. Description of Services

VoterPing provides political campaign services including but not limited to:

• Peer-to-peer (P2P) and mass text messaging services
• Digital advertising campaign management
• Direct mail services
• Voter data and analytics services
• Campaign creative and design services
• Campaign operations support

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. Client Eligibility

Our Services are available to:

• Political candidates and their authorized campaign committees
• Political action committees (PACs) and Super PACs
• Political party organizations
• Ballot measure and issue advocacy campaigns
• Political consultants and agencies working on behalf of the above
• Nonprofit organizations engaged in civic engagement activities

We reserve the right to refuse service to any individual or organization at our sole discretion.

4. Compliance with Laws

By using our Services, you agree to comply with all applicable federal, state, and local laws and regulations, including but not limited to:

Federal Election Commission (FEC) Regulations

• Proper disclosure and attribution requirements for political communications
• Contribution limits and reporting requirements
• Coordination rules between campaigns and outside groups

Telephone Consumer Protection Act (TCPA)

• Obtaining proper consent before sending text messages
• Honoring opt-out requests promptly
• Maintaining compliant messaging practices

CAN-SPAM Act

• Proper identification in email communications
• Honoring unsubscribe requests
• Accurate header and subject line information

You are solely responsible for ensuring your use of our Services complies with all applicable laws. VoterPing provides tools and guidance but does not provide legal advice.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your campaign or organization
• Maintain proper consent records for all voter contacts
• Ensure all content and messaging complies with applicable laws
• Pay all fees in accordance with agreed-upon terms
• Notify us promptly of any legal concerns or complaints received
• Not use our Services for any unlawful or prohibited purpose

6. Prohibited Uses

You may not use our Services to:

• Send unsolicited messages without proper consent
• Distribute false, misleading, or defamatory content
• Violate any person's privacy rights
• Engage in voter suppression or intimidation
• Circumvent election laws or regulations
• Impersonate any person or entity
• Transmit malware, viruses, or harmful code
• Interfere with or disrupt our Services or servers

7. Intellectual Property

The VoterPing name, logo, website content, and proprietary technology are owned by VoterPing and protected by intellectual property laws. You may not use our branding or content without express written permission.

Content you provide to us for campaign purposes remains your property. You grant us a limited license to use this content solely to provide our Services to you.

8. Fees and Payment

• Fees for Services will be outlined in your service agreement or proposal
• Payment terms are typically net 15 or as specified in your agreement
• Late payments may result in service suspension and late fees
• All fees are non-refundable unless otherwise specified

9. Confidentiality

We treat all client information as confidential. We will not disclose your campaign strategies, voter data, or other sensitive information to third parties except as required by law or with your consent.

You agree to keep confidential any proprietary information about our systems, processes, and technology that we may share with you.

10. Limitation of Liability

To the maximum extent permitted by law:

• VoterPing provides Services "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for third-party actions, including carrier delivery or platform policies

11. Indemnification

You agree to indemnify, defend, and hold harmless VoterPing and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable laws
• Content you provide or distribute through our Services

12. Termination

Either party may terminate the service relationship with 30 days written notice. We may terminate or suspend your access immediately if you violate these Terms or applicable laws.

Upon termination, your right to use our Services ceases immediately. Provisions regarding confidentiality, limitation of liability, and indemnification survive termination.

13. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Texas, and the arbitrator's decision shall be final and binding.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
